1. Acceptance of Terms

By accessing and using DeltaOrders ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

DeltaOrders is an order management platform designed to help hobbyists and small business owners manage their orders, inventory, holidays, and off days. The Service provides tools for tracking orders, managing customer information, and processing transactions.

DeltaOrders only provides tools for managing orders and related information. We are not a marketplace and are not a party to any transactions between you and your customers. You are solely responsible for the products or services you sell, the accuracy of pricing and descriptions, order fulfilment, refunds, and compliance with applicable consumer protection, tax, and other laws.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Transmit any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to process fraudulent transactions
• Harass, abuse, or harm other users
• Use the Service to manage, list, or facilitate the sale of illegal goods, regulated substances, or any items prohibited under applicable Indian laws, including the Information Technology Act, 2000 and the rules made thereunder.

5. Payment, Subscriptions, and Credits

DeltaOrders offers both subscription-based plans and a credit-based "Top-up" model.

• Credits: One credit is consumed for each order processed. Credits purchased as "Top-ups" do not expire as long as the account remains active.
• Billing: Fees for subscriptions and top-ups are processed via Razorpay.
• Refund Policy: Subscription fees and top-up credits are generally non-refundable. However, refund requests made within 7 days of purchase may be considered if no credits from that purchase have been used.
• Taxes on Our Fees: All fees we charge for subscriptions and top-ups are exclusive of applicable GST or other indirect taxes unless stated otherwise.
• Your Tax Obligations: You are solely responsible for calculating, reporting, and remitting any applicable GST, income tax, or other taxes on the sales and revenue you manage through the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as outlined in the Privacy Policy. You are responsible for:

• Ensuring you have the right to collect and process customer data
• Complying with applicable data protection laws
• Obtaining necessary consent from customers before collecting their information

7. Intellectual Property

The Service and its original content, features, and functionality are owned by DeltaOrders and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not:

• Reproduce, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices
• Use our trademarks without prior written permission

8. Third-Party Services

The Service may integrate with third-party payment processors, shipping providers, and other services. Your use of third-party services is subject to their respective terms and conditions. We are not responsible for the availability or functionality of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, DeltaOrders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any conduct or content of third parties on the Service
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Service

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components

We may temporarily suspend or limit access to the Service for maintenance, upgrades, or other operational reasons. While we aim to provide a reliable Service, we do not guarantee any specific uptime or response time, and you agree that occasional interruptions may occur.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data, subject to applicable data retention requirements
• All provisions of these Terms that by their nature should survive termination shall survive

If you request deletion of your account, your account will first be placed into a deactivated state for a grace period of 30 days, during which you may contact us to reverse the deletion. After this grace period, we may delete or anonymize your account data in accordance with our Privacy Policy and applicable law, subject to any statutory retention obligations.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Updating the "Last Updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Severability

These Terms constitute the entire agreement between you and DeltaOrders regarding the use of the Service and supersede all prior agreements and understandings.

17. Compliance with Indian Laws

You agree to comply with all applicable Indian laws, including but not limited to the Information Technology Act, 2000, and the rules made thereunder. You are prohibited from hosting, managing, or selling any content or products through the Service that are defamatory, obscene, infringe the intellectual property rights of others, or are otherwise prohibited or restricted under applicable law.
